Dream Wholesale Inc. – Wholesale Terms & Conditions

Welcome to Dream Wholesale!

By applying for and maintaining a B2B wholesale account with Dream Wholesale, you ("Customer") agree to be legally bound by the following Terms and Conditions. Please read them carefully before submitting your application.

1. Eligibility

B2B accounts are available only to licensed retail or wholesale businesses operating within Canada or the United States.

By applying for a wholesale account, the Customer confirms that:

• They are an authorized representative of their business.
• Their business holds valid licenses and permits required to operate, sell, or distribute Dream Wholesale products.
• Their business complies with all applicable federal, provincial, state, and municipal laws and regulations.
• Dream Wholesale reserves the right to request business verification documents and to reject or terminate any account that provides false or incomplete information.

2. Compliance with Law

The Customer agrees to comply with all relevant laws and regulations, including but not limited to:

• The Canada Excise Act, 2001
• The Tobacco and Vaping Products Act (TVPA)
• Federal and Provincial Excise Tax Regulations for vaping products
• Health Canada and U.S. FDA labeling, packaging, and advertising standards

3. Indemnity and Limitation of Liability

3.1 Indemnity — The Customer agrees to indemnify and hold harmless Dream Wholesale Inc., its affiliates, directors, officers, and employees against any loss, fine, penalty, or legal cost arising from the Customer's failure to comply with applicable laws.

3.2 Limitation of Liability — All products are sold "as-is" and "as available." Dream Wholesale makes no express or implied warranties. Dream Wholesale shall not be liable for any direct, indirect, incidental, or consequential damages.

4. Account Use and Responsibility

The Customer is responsible for maintaining the confidentiality of their account information and for all activities under their account.

5. Product Availability and Pricing

All products, descriptions, and prices are subject to change without notice. Orders are subject to approval and stock availability.

Orders over $1,500 (CAD) within the Greater Toronto Area (GTA) qualify for free shipping.

6. Returns, Warranty, and Disputes

6.1 Warranty Period: Warranty for eligible devices is 30 days from the date of sale.

6.2 Excluded Items: The warranty does not cover coils, pods, snacks, or accessories, nor damage due to misuse.

6.3 Return Process: All returned products are inspected; only confirmed defective items are credited within 14 business days.

7. Termination of Account

Dream Wholesale may suspend or terminate a wholesale account at any time if the Customer violates these Terms or engages in fraudulent activity.

8. Product Use and Restrictions

Dream Wholesale products are intended for resale only to adult consumers where permitted by law.

9. Governing Law

These Terms & Conditions shall be governed by the laws of Ontario, Canada.

10. Authorization

By submitting this wholesale application, the Customer represents that they are authorized to act on behalf of their company and agree that all provided information is true and accurate.
